The Management Board of MCI Management S.A. informs that on October 17, 2007 the company signed an annex (âAnnexâ) to the Investment Agreement from March 28, 2007 under which MCI Management SA invested in NetPress Digital Sp. z o.o. PLN 600,000 with possible increase to PLN 1.5 million over a dozen of so months (see the current report no. 15/2007). By signing the Annex Netina Sp. z o.o. and Złote MyĹli Sp. z o.o. joined the Investment Agreement. As a result of signing the Annex the share capital of NetPress Digital shall increase by creating 23,000 new shares with the total nominal value of PLN 1.15 million to be taken up by Netina for contributing 100% of the shares in Złote MyĹli. As a result of the transaction Zakłady Graficzne Taurus Stanisław Roszkowski Sp. z o.o. shall remain the biggest shareholder in NetPress Digital with 40.68%. Netina shall take up 38.98% in the increased share capital of NetPress Digital for contributing 100% of the shares in Złote MyĹli Sp. z o.o., whereas MCI Management shall hold 20.34% (after the first tranche of the investment). The signed Annex does not provide for an increase of the capital engagement of MCI compared to the provisions of the Investment Agreement.
Złote MyĹli is the biggest publisher of books in electronic format (e-books, audiobooks) in Poland. At present the company has almost 200 titles on its offer presented at www.zlotemysli.pl, mainly reference books.
The objective of joining is to create an undisputed leader in the area of distribution of electronic magazines and books in Poland. The company is working on activation of an innovative internet platform which shall enable it to reach more Internet users with its offer.
This is a long-term investment. There are no connection referred to in § 7 subpar. 6 of RO.
The purchased assets represent over 20% of the share capital of Złote MyĹli Sp. z o.o. and are considered assets of significant value.
