The Management Board of MCI Management S.A. informs that on October 10, 2007 the Company took up 493 shares of the nominal value of PLN 50.00 in Intymna.pl Sp. z o.o. Within the next few days MCI shall pay PLN 700,010.70 in cash for the purchased shares, that is PLN 1,419.90 per one share. The purchased assets represent over 33% of the share capital of intymna.pl Sp. z o.o. The signed investment agreement assumes that after reaching certain budgetary parameters in the years 2008-2010. MCI shall have an option of making additional investment and increasing the capital exposure from 49% to 64%; the additional investment options shall be exercised on the basis of the valuation of current financial results of the company. The conditions of the investment agreement assume preferential conditions of exit from the investment for MCI Management SA.
Intymna.pl is the oldest and biggest store selling women’s and men’s underwear on the Polish Internet. Until July 2007 intymna.pl was operating in the form of a Civil Law Company. During the 5 years of its existence the store has reached the leading position in its segment. Underwear is the fastest growing clothes segment and the share of online sales channel is strongly growing. The sale of intymna.pl is targeted at retail customers (B2C e-commerce); the turnover of the company in 2006 exceeded PLN 2 million. Intymna.pl is planning to reach at least 100% dynamics of growth in 2007. The company has almost 80 thousand registered customers whom it offers over 50 brands of lingerie and men’s underwear at different price levels. Additionally, the offer includes accessories such as jewelry, perfumes and cosmetics.
Intymna.pl is the undisputed leader of the online underwear market. It offers the newest collections, including limited ones as well as most popular models and brands among the customers. It was chosen no. 1 store in the Internet Stores Ranking by Wprost and Money.pl as well as in the Ranking âThe Best Internet Stores of the Internet 2006 Magazineâ in the clothes category.
www.intymna.pl offers about 2 thousand products from current collections of underwear. The interest of the customers in intymna.pl is growing all the time and; at present the average number of visits at the site is 1 million monthly and 5000 orders every month. The customers come from 140 countries. The strengths of the site include its large product range, exclusive underwear brands and high availability of products which is the source of trust of thousands of satisfied and loyal customers.
The investment in Intymna.pl ideally fits the strategy of MCI Management SA regarding the continuation of the Company’s investment engagement in B2C E-commerce sectors. B2C E-commerce is a business model in which MCI has a lot of experience confirmed by the success in building undisputed market leaders, which translates into significant added value to the MCI’s capital investment in Intymna.pl. The expenditure of the customers in underwear in Poland is estimated at over PLN 4 billion annually, the Internet channel as a sales channel at the stage of intensive growth and very strong competitive position of Intymna.pl in the market – all this is a solid basis for building the crucial critical mass of business and value.
This is a long-term investment. There are no connection referred to in § 7 subpar. 6 of RO. The purchased assets represent over 20% of the share capital of Intymna.pl Sp. z o.o. and are considered assets of significant value.
