On October 23, 2012, MCI.PrivateVentures FIZ with Subfund MCI.TechVentures 1.0 (“Subfund”) seated in Emilii Plater 53, 00-113 Warsaw, Poland, represented by MCI Capital Towarzystwo Funduszy Inwestycyjnych SA acting on behalf of the Subfund has entered into Subscription and Shareholders’ Agreement (the “SSA”) with respect to subscription for shares in Blacksquare Investments Limited (“Blacksquare”) seated in Gr. Xenopoulou, 17, 3106, Limassol (Cyprus).
Blacksquare, with its foreign subsidiaries and predominant exposure to Russian market, operates in e-commerce sector through private shopping clubs (KupiVIP.ru / KupiLuxe.ru), online store (ShopTime.ru), as well as provides outsourced e-commerce services for global fashion brands.
Under the terms of SSA Subfund will subscribe for a minority shareholding at the total subscription price of ca. €12 million.
The Investment is consistent with investment strategy of the Subfund that assumes geographical diversification of the portfolio and investments in companies being market leaders in segments of the e-commerce market with the highest growth potential.
