Legal basis: Art. 56 subpar. 1 pt. 2 of the Act on Public Offering in connection with § 5 subpar. 1 pt. 1 and pt. 3 of the Directive of the Minister of Finance on current and periodic information

MCI Management S.A. based in Warsaw hereby informs about transactions connected with providing order to the structure of assets – shares of ABC Data S.A.
In order to meet the statutory requirements MCI Management S.A. has prepared this current report regarding the transaction of significant value inside the Capital Group and between entities owned in 100% by MCI Management S.A.
On September 13, 2012, MCI Fund Management SpĂłłka z ograniczoną odpowiedzialnością MCI.PrivateVentures SpĂłłka komandytowo – akcyjna, whose 100% of the shares are owned by MCI Management S.A. concluded with MCI Venture Projects SpĂłłka z ograniczoną odpowiedzialnością SpĂłłka komandytowo – akcyjna based in Warsaw, 00-113 Warszawa, ul. Emilii Plater no. 53, a contract of sale of 1,829,269 (in words: one million eight hundred twenty nine thousand two hundred sixty nine) shares with the designation code ISIN PLABCDT00014 in ABC Data S.A. – a company established in compliance with the provisions of law of the Republic of Poland, entered to the National Court Register – Register of Entrepreneurs held by the Economic Division 12 of the District Court for the Capital City of Warsaw in Warsaw under number KRS 287132 at the total selling price of PLN 4,243,904.08 (four million two hundred forty three thousand nine hundred four 8/100). The selling price shall be paid by November 30, 2012.
The unit price was calculated as the average weighted price of the shares of ABC Data S.A. over 6 months preceding the day of conclusion of the share sale contract referred to above. The unit price of one share was PLN 2.32.
The shares of ABC Data S.A. were sold through the brokerage house operating on the basis of Art. 69 of the Act on Trading in Financial Instruments on the basis of a civil law contract concluded outside the organized market.
MCI Management S.A. owns 100% of the shares in MCI Fund Management SpĂłłka z ograniczoną odpowiedzialnością MCI.PrivateVentures SpĂłłka komandytowo – akcyjna and 100% of the shares in the general partner MCI Fund Management SpĂłłka z ograniczoną odpowiedzialnością SpĂłłka komandytowo – akcyjna.
At the moment of conclusion and performance of the contract of sale of 1,829,269 (in words: one million eight hundred twenty nine thousand two hundred sixty nine) shares with the designation code ISIN PLABCDT00014 in ABC Data S.A., MCI Management S.A. owned 100% of the shares in MCI Venture Projects SpĂłłka z ograniczoną odpowiedzialnością SpĂłłka komandytowo – akcyjna based in Warsaw. At the moment of conclusion and performance of the contract of sale of the shares referred to above in ABC Data S.A., MCI Management S.A. also owned 100% of the shares in the general partner MCI Venture Projects SpĂłłka z ograniczoną odpowiedzialnością SpĂłłka komandytowo – akcyjna.

In is Current Report number 47/2012 MCI Management S.A. informed about the conclusion on September 10, 2012 by MCI Management S.A. of a contract of sale to MCI Venture Projects SpĂłłka z ograniczoną odpowiedzialnością SpĂłłka komandytowo – akcyjna of 10,000,000 (in words: ten million) shares with the designation code ISIN PLABCDT00014 in ABC Data S.A. and about the conclusion on September 10, 2012 by MCI Fund Management SpĂłłka z ograniczoną odpowiedzialnością MCI.PrivateVentures SpĂłłka komandytowo – akcyjna of a contract of sale to MCI Venture Projects SpĂłłka z ograniczoną odpowiedzialnością SpĂłłka komandytowo – akcyjna of 13,855,731 (in words: thirteen million eight hundred fifty five thousand seven hundred thirty one) shares with the designation code ISIN PLABCDT00014 in ABC Data S.A.
As a result of the performance of the contracts of sale of shares in ABC Data S.A. concluded on September 10, 2012 and on September 13, 2012, MCI Venture Projects SpĂłłka z ograniczoną odpowiedzialnością SpĂłłka komandytowo – akcyjna holds 25,685,000 shares in ABC Data S.A.

The value of equity capital of MCI Management S.A. was assumed as the criterion of the contracts of purchase and sale of the shares of ABC Data S.A.
