Legal basis: § 56 subpar. 1 pt. 1 of the Act on Public Offering

The Management Board of MCI Management S.A. informs that on December 21, 2006 the fund signed an investment agreement on the basis of which it shall take over two websites operating in the formula Web 2.0 – Biznes.net and Trendomierz to further develop them. Mr. Michał Faber, a known internet entrepreneur, will be the partner in the investment. The provisions of the agreement will be performed with the use of HotPunkt Sp. z o.o. After the investment the company will change to Web˛ Sp. z o.o. Originally the company was dedicated to carry out WIMAX projects. The fund does not exclude carrying out those projects in the future if the company wins tenders for WIMAX frequency in which it takes part.

In the investment agreement MCI undertakes to take up 6,300 shares in HotPunkt Sp. z o.o. with the nominal value of 50.00 PLN in the new issue. MCI will pay 315 thousand PLN for the purchased shares, that is 50.00 PLN per one share. The purchased shares correspond to 41.28% in the increased share capital of the company. After the transaction the engagement of MCI Management S.A. in the company will reach 50.01%. Under the investment agreement the 2nd round of investment of up to 250 thousand PLN shall take place not earlier than 6 months and not later than 12 months after the date of its signing. The transaction shall be finalized at the beginning of January 2007.

Web˛ specializes in developing internet solutions in formula Web 2.0 in which the users create communities, communicate, support and cooperate with one another. The objective of the MCI investment in its first stage is to develop the website for Biznes.net professionals and Trendomierz – aggregator of information. Ultimately Web˛ will be developing a number of websites and Web 2.0 applications, striving for the use of marketing, market and technological synergy.

The purchased assets which correspond to over 20% of the increased share capital of Web2 Sp. z o.o. and they are considered assets of significant value.

Biznes.net (http://www.biznes.net) is a website for pro-active professionals which soon will become, along with the development of its functionality, the center of networking, business contacts, events and news. At present personal profiles similar to CV can be set up on the site, friends can be invited, new people can be met, individual blogs can be hosted and one can read blogs of other professionals, as well as see the graph of their contacts.

Trendomierz.pl (http://www.trendomierz.pl) is a socially moderated aggregator organizing a lot of news from internet sites and blogs. The most important and interesting information is readily accessible and the website informs with e-mails about novelties in specific thematic categories or categories containing specific key words. At the same time it also visualizes trends in media and blogs in the form of bubbles of most frequently used key words. The website is also available in the version for professionals at Trendomierz.net (http://www.trendomierz.net) which presents thematic categories connected with business, finances, teleinformatics or media. The users may assess and comment the presented news contributing to the improvement of the quality of information and extending its scope to include the most relevant news.
