Legal basis: § 5 subpar. 1 pt. 12 of RRM and § 18 of RRM.

The Management Board of MCI Management SA informs that on June 8, 2004 MCI Management SA received information that on the basis of the decision from May 28, 2004 the District Court for Wrocław Fabryczna Commercial Division VI of the National Court Register entered into the registration file of the Company the minutes of the General Meeting of the Shareholders from May 17, 2004 rep. A No. 1612/2004, which means that pursuant to Art. 450 § 2 of the Polish Commercial Companies Code the contingent increase of the share capital of MCI Management SA was entered into the National Court Register in order to grant the holders of convertible class A bonds class F shares in the amount not higher than 5,000,000.00 divided into 5,000,000 class F bearer shares of nominal value of 1.00 PLN. Furthermore, MCI Management SA informs that on the basis of the decision from June 4, 2004 the same Registration Court entered into the National Court Registry the issue made by the Company on May 17, 2004 of class A bonds convertible into class F shares of the Company. If all issued bonds were converted into class F shares, the number of votes at the General Meeting of the Shareholders which would derive from the shares taken up would be 5,000,000, that is 11.68%. The total number of the votes at the General Meeting of the Shareholders would then be 42,800,000.
