The Management Board of MCI Management SA informs that on June 30, 2008 the Company increased the capital in MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA (a 100% MCI Management SA dependent company) up to PLN 24,614,015.00. The increase was made by subscribing 11,958,183 new bearer âDâ shares with the nominal value of PLN 1.00 each and the issue price of PLN 10.00 each. In this purpose MCI Management SA paid PLN 70,000 in cash and contributed 44,377,600 shares in ABC Data Holding SA with the nominal value of PLN 1.00 valued at PLN 119,511,839 that is PLN 2.69 per one share. The contributed shares represent 80.00% of the share capital of ABC Data Holding SA. The value of the contributed shares recognized in the accounts books of the Issuer as of March 31, 2008 (day of latest fair value calculation) was PLN 128,121,569.66. The contributed assets represent over 20% of the share capital of ABC Data Holding SA and they are considered assets of significant value.
Furthermore, the Management Board of MCI Management SA informs that on June 30, 2008 MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA submitted a request for C investment certificates connected with MCI.EuroVentures 1.0 which is a subfund of MCI.PrivateVentures FIZ fund managed by MCI Capital TFI SA. MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA made payment for C investment certificates connected with MCI.EuroVentures 1.0 subfund by contributing 44,377,600 shares in ABC Data Holding SA with the nominal value of PLN 1.00 valued at PLN 119,511,839 that is PLN 2.69 per share. The contributed shares represent 80.00% of the share capital of ABC Data Holding SA. The contributed assets represent over 20% of the share capital of ABC Data Holding SA and they are considered assets of significant value.
The transactions referred to above are a part of the process of transfer of financial assets of MCI Management SA to MCI.TechVentures 1.0 and MCI.EuroVentures 1.0 investment subfunds which shall be completed by the end of September 2008.
MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA is owned in 100% by MCI Management SA. The company is represented by the general partner of MCI Fund Management Sp. z o.o. The membership of the Management Board of the general partner is the same as that of MCI Management SA. The Management Board of MCI Management SA informed about establishing MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA in its current report 76/2007, and about establishing MCI Fund Management Sp. z o.o. in its current report 69/2007. The Management Board of MCI Management SA informed about establishing MCI Capital TFI SA in its current report 03/2007 and 46/2007, and about its investment in ABC Data Holding SA in its current report 86/2007.
