Legal basis: § 5 subpar. 1 pt. 1 of RO

The Management Board of MCI Management S.A. informs that on May 21, 2007 the conditions precedent of the provisional agreement between MCI Management SA and ACTEBIS Holding GmbH signed on April 13, 2007 regarding the purchase of 80% stake of shares in ABC Data Sp. z o.o., Actebis Computer A/S in Denmark, Actebis Computer A/S in Norway, Actebis Computer AB in Sweden, Actebis Computer s.r.o. in the Czech Republic and ABC Data s.r.o. in Slovakia constituting the biggest IT group with turnover exceeding PLN 4 billion in 2006 have been fulfilled.

MCI Management SA shall pay EUR 58 million and in the case of successful public offer it shall pay additional EUR 12 million (if the valuation of the company at stock exchange debut over EUR 105 million). The closing date shall occur within 9 months after the remaining conditions precedent are met and the Share Purchase Agreement is signed. ACTEBIS Holding GmbH shall remain a 20% shareholder in these companies and its representatives will become members of the Supervisory Board allowing the ABC Data group to take advantage of Actebis Holding’s expertise gained in managing European companies in information technology business.

The transaction will be financed in 20% to 40% from own resources and the remaining part will be leveraged with credits. This is a long-term investment. There are no connections, referred to in § 7 subpar. 6 of RO.

The Management Board of MCI Management S.A. shall keep you informed about further activities connected with this investment project in separate current reports of the company.

The target companies sell computer hardware, components and peripherals. ABC Data In terms of sales, ABC Data is the largest IT company in Poland and Actebis Computer A/S is the largest IT distributor in Denmark. Over the last several years, both of them have experienced significant growth and have consistently surpassed forecasts & market growth. MCI Management believes that the additional four companies will repeat this success in Norway, Sweden, the Czech Republic and Slovakia.

The sold assets correspond to over 20% of the share capital of ABC Data Sp. z o.o., Actebis Computer A/S in Denmark, Actebis Computer A/S in Norway, Actebis Computer AB in Sweden, Actebis Computer s.r.o. in the Czech Republic and ABC Data s.r.o. in Slovakia and they are considered assets of significant value
