Legal basis: Art. 56, subpar. 1, pt. 1 of the Act on Public Offering

The Management Board of MCI Management SA informs that on August 23, 2006 it received signed on August 22, 2006 three agreements in the form of letters of intent regarding the sale by MCI Management S.A. of the stakes in One-2-One S.A. to three financial institutions which participated in One-2-One S.A. public offering.

The signed agreements assume by the end of 2006 the sale to three financial institutions of the total of 240 000 Class A bearer shares of One-2-One SA provisionally admitted to trading in the primary market of the Warsaw Stock Exchange on the basis of the Resolution of the Management Board of WSE no. 305/2006 from Aug. 21, 2006 for the price of PLN 12.60 per each share, that is for the total selling price of PLN 3,024 thousand.

The agreements will be implemented if the increase of the share capital of One-2-One SA is registered as a result of the issue of new Class B shares and the price of the shares of One-2-One SA in the quotation in the WSE primary market exceeds PLN 12.50 (on the day of transaction) but always not later than by Dec. 31, 2006.

The agreements provide for sale of shares of One-2-One SA which correspond in total to 3.81% of shares. The signed agreements are the result of the implementation of the investment strategy of MCI Management S.A. towards One-2-One S.A. presented in the current report 28/2006 from August 14, 2006. According to the announced strategy MCI assumed that within 12 months from the debut of One-2-One S.A. on WSE it can make a sale of almost 6% of One-2-One shares held by the fund and still maintain its commitment in the company over 33%.

The conclusion of the agreements with financial investors shall increase the engagement of institutional investors in One-2-One S.A. in building a stable shareholding of the company and is the answer to the demand of financial investors with the large scale reduction of subscriptions within IPO. The Management Board of MCI Management S.A. will inform about the implementation of the agreements in the form of current reports at the moment of the conclusion of sale transaction.
