Legal basis: § 5, subpar. 1, pt. 1 of RO and § 7of RO

The Management Board of MCI Management SA informs that on July 18, 2006 the Fund within the third round of investment took up 300 (three hundred) new shares with the nominal value of 500.00 (five hundred) zlotys each and their total nominal value of 150,000.00 (one hundred fifty thousand) zlotys. In total the purchased shares account for 27.52% of the share capital of Iplay.pl sp. z o.o. MCI Management SA paid PLN 150,000 for the purchased shares that is PLN 500 per each share. After taking up the shares of new issue MCI Management S.A. in total holds 629 shares of Iplay Sp. z o.o. which accounts for 76.71% of the share capital of the Company.

The other investors in Iplay.pl and the management of the company also took part in the third round of investment. The capital from the third round will be used on the continuation of the strategy of building of the leader in the market of digital entertainment content. Iplay.pl is planning to make investments in e.g. obtaining music and mobile content, purchase and implementation of digital content redistribution technology on the Internet and through the mobile channel as well as promotion of the website of the company. Within the frame of the assumed strategy the company signed another contract with a large recording studio – EMI Music and finalizes work on starting up music platform with mobile content. Finding another large recording studio (Majors) shall extend the offer of the leading website selling music online, whereas the platform of mobile content (ringtones, true tones, real tones, wallpapers, Java games) shall be the basis of the building of the other area, apart from music, activity of the company within the offer of the digital entertainment content. The mobile content shall enable the company to accelerate the growth and satisfy the expectations of the clients.

Last year Iplay.pl generated PLN 495 thousand from sales and PLN 52 thousand in net profit. At the end of the first half of 2006 there number of “unique users” of the website exceeded 100 thousand.

The purchased assets account for over 20% of the share capital of Iplay Sp. z o.o. and are considered assets of considerable value.
