Art. 56 subpar. 1 pt. 2 of the Act on Public Offering – current and periodic information, in connection with § 39 subpar. 1 pt. 5 of RO

The Management Board of MCI Management S.A. informs that on February 28, 2012 the Extraordinary General Assembly of the Company appointed Mr Jarosław Dąbrowski and Mr. Dariusz Adamiuk new members of the Supervisory Board.

Newly appointed Member of the Supervisory Board Mr. Jarosław Dąbrowski submitted a declaration that he does not conduct activity competitive to that of MCI Management S.A., he is not a partner in competitive to MCI Management S.A. civil law companies or partnerships, he is not a member in any governing bodies of capital companies or any other legal persons competitive to MCI Management S.A. and that he is not listed in the Register of Insolvent Debtors maintained on the basis of the Act on the National Court Register.
Information about education, qualifications and positions held previously with the description of professional career of the newly appointed Member of the Supervisory Board:

Jarosław Dąbrowski is a graduate of the Faculty of Law at the University of Warsaw. Holder of an MBA diploma; he took a number of specialist trainings and completed various studies, including at Edinburgh University Management School and the University of Navarra in Barcelona.
He started his professional career in 1991. In 1992-1993, he worked in the Office of the Council of Ministers as Director of Office of Vice-President of the Council of Ministers for Economic Matters. Since 1994 he was connected with Raiffeisen Group. In 1995-1997, held the position of the President of the Management Board of Consortium of Raiffeisen Atkins and President of the Management Board of NFI Progress S.A successfully introducing it to the Stock Exchange. From 1997 to 2000, he was a member of the Management Board of Raiffeisen Bank Polska S.A., and from 2001 to 2004 Vice-President of the Management Board of Raiffeisen Bank Polska S.A. In 2004-2009, Jarosław Dąbrowski was the President of the Management Board of DnB NORD Bank Polska S.A. In 2007, he conducted the merger of DnB NORD Bank Polska S.A. and BISE Bank. In 2010, Jarosław Dąbrowski established an independent financial company – Dąbrowski Finance. At present he is a member of the Supervisory Board of Polski Bank Przedsiębiorczości and BPT Asset Management A/S.

Mr. Dariusz Adamiuk is a member of the Supervisory Board of MCI Partners SA (company which is 100% dependent from the Issuer).

Mr. Dariusz Adamiuk has over twenty four years of management experience in the financial services sector ranging from Corporate Finance to Investment Banking and to Asset Management fields. The total value of transactions that he was directly responsible for, or involved in, exceeds $8 bn. The total value of assets managed was in excess of $10 bn. Asset classes that he was responsible for, include: public equity, fixed income, interest rate & currency derivatives as well as alternative assets. In recent years, he has been increasingly involved in private equity funds and in private equity fund of funds transactions and structures throughout the CEE and CIS regions. Earlier in his career, Dariusz Adamiuk was CEO of PZU Asset Management SA, Deputy President and CIO of PTE PZU SA, as well as President of ABN AMRO Hoare Govett Corporate Finance Ltd and Head of Investment banking at ABN AMRO (Polska) SA and Senior Manager, Corporate Finance at Price Waterhouse (Polska) SA. Currently, he is a Member of Directores Board of PJSC Universalna (Kiev), Supervisory Board Member of MCI SA (Warsaw), Director & Board Member of CE-EA SĂ rl (Fribourg), Senior Adviser of Euro Private Equity SA (Geneva) and President of Euro-PE (CEE) Ltd (Warsaw) He holds an MBA from The University of Auckland, School of Commerce & Economics and Graduate School of Business, (joint program with UCLA Anderson, Peter F. Drucker Graduate School of Management in Claremont, USA) and an MSc, BE degrees from The Technical University of Warsaw and is a Graduate Member of IPENZ.
