Legal basis: Art. 70 subpar. 1 of the Act on Public Offering

The Management Board of MCI Management S.A. informs that on May 13, 2009 according to Art. 69 subpar. 1 pt. 2 and Art. 69 subpar. 2 pt. 1 letter a) in connection with Art. 87 subpar. 1 pt. 2 letter a) of the Act from July 29, 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies (Journal of Laws No. 184, item 1539) it received the following information: BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych SpĂłłka Akcyjna acting on behalf of Arka BZ WBK Akcji Fundusz Inwestycyjny Otwarty, Arka BZ WBK ZrĂłwnoważony Fundusz Inwestycyjny Otwarty and Lukas Fundusz Inwestycyjny Otwarty (hereinafter the “Funds”) informs that as a result of sale of shares conducted on May 7, 2009 the Funds referred to above became owners of shares giving less than 10% of the total number of votes at the general assembly of the shareholders of the public company MCI Management SA. At the same time the Funds referred to above became owners of shares in the number causing a decrease in total the number of votes at the general assembly of the shareholders of the public company MCI Management SA by more than 2%. Earlier the Funds managed by TFI informed about holding 12.06% of the total the number of votes at the general assembly of the shareholders of the public company MCI Management SA.

Before the decrease the Funds held 4,599,133 shares in MCI Management SA, which represents 10.24% in the share capital. These shares gave 4,599,133 votes at the general assembly of the shareholders which represents 10.24% in the total number of votes at the general assembly of the shareholders of MCI Management SA.

As of May 7, 2009 the Funds held 4,468,482 shares in MCI Management SA, which represents 9.95% in the share capital. These shares gave 4,468,482 votes at the general assembly of the shareholders which represented 9.95% in the total number of votes at the general assembly of the shareholders of MCI Management SA.

Furthermore, BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych SA informs that according to Art. 46 subpar.1 pt. 1) of the Act from May 27, 2004 on Investment Funds (Journal of Laws No. 146, item 1546 as amended) it entrusted BZ WBK AIB Asset Management SpĂłłka Akcyjna with its registered seat in Poznań with managing the investment portfolios of the Funds. Consequently, BZ WBK AIB Asset Management SA shall bear the information obligation connected with the sale of the shares referred to in this report.
