Legal basis: Art. 56 subpar. 1 pt. 2 of the Act on Public Offering.

The Management Board of MCI Management S.A. informs that on April 27 this year it received information from the Management Board of Comtica Sp. z o.o. – MCI Management S.A. portfolio company, about the conclusion on April 27 the following transaction of sale of 2,401 shares corresponding to 75.03% shares in the share capital of Streemo Sp. z o.o. for the total amount of PLN 372,155 to Digital Avenue S.A. in organization and Mr. Piotr Szostak and Paweł Laskowski:
– Digital Avenue S.A. in organization, MCI Management S.A. portfolio company, purchased 1,603 shares corresponding to 50.09% of shares in the share capital of Streemo Sp. z o.o. for PLN 248,465;
– Mr. Piotr Szostak, President of the Management Board of Streemo Sp. z o.o, purchased 399 shares corresponding to 12.47% of the share capital of Streemo Sp. z o.o. for PLN 61,845;
– Mr. Paweł Laskowski, President of the Management Board of Comtica Sp. z o.o. purchased 399 shares corresponding to 12.47% of the share capital Streemo Sp. z o.o. for PLN 61,845;

On April 27 the Extraordinary General Meeting of the Shareholders of Streemo Sp. z o.o. was held at which a resolution on increase of the level of capital was adopted from PLN 160,000 by PLN 240,100 to PLN 400,100 by creating 4,802 new shares in the Company of the nominal value of PLN 50 per each share. Digital Avenue S.A. purchased 2,405 newly created shares in Streemo Sp z o.o. of the nominal value of PLN 50 per each share for the total amount of PLN 120,250. After increase of the capital the Digital Avenue S.A. shareholding in the share capital of Streemo Sp. z o.o. shall be 50.09%.

Streemo Sp. z o.o. was founded on March 27, 2007 at the initiative of Comtica Sp. z o.o. by separating the assets connected with the community website www.streemo.pl. www.streemo.pl is an enterprise at its start up stage operating the community website with extensive functions of information exchange between the users and multimedia content. The business model of Streemo is based on the revenues from advertising and e-commerce.

The objective of the transactions is to build a Capital Group at the level of Digital Avenue S.A. which shall focus on digital entertainment for the users of the Internet and mobile telephony. MCI Management S.A. informed of the intent to make the transaction in the report No. 22/2007 from April 20, 2007 on the foundation of Digital Avenue S.A.
