Legal basis: § 5, subpar. 21 and 22 and § 27 and § 28 of RO

The Management Board of MCI Management SA informs that at the Ordinary General Assembly of the Shareholders which was held on June 27, 2006, acting on the basis of the provisions of Art. 386 of the Polish Commercial Companies Code and § 14, subpar. 10 of the Statutes of the Company the General Assembly, it stated the expiry of mandates of all Members of the Supervisory Board of MCI Management SA of the 3rd Term of Office, Messrs:
 Waldemar Sielski – Chairperson of the Supervisory Board,
 Krzysztof Samotij – Member of the Supervisory Board,
 Hubert Janiszewski – Member of the Supervisory Board,
 Roman Matkiwski – Member of the Supervisory Board,
 Mariusz Kunda – Member of the Supervisory Board,
as during the meeting of the Assembly the financial statements of the Company for the last complete financial year (2005) of the holding their positions as Members of the Supervisory Board of the 3rd Term of Office were approved.

Furthermore, acting on the basis of the provisions of § 14 subpar. 1 of the Statutes of the Company the Ordinary General Assembly agreed that the Supervisory Board of the Company the 4th Term of Office shall be composed of six persons and its new members were appointed, Messrs:
 Hubert Janiszewski
 Krzysztof Samotij
 Waldemar Sielski
 Wojciech Siewierski
 Konrad Sitnik

On June 28, 2006 by the decision of the shareholder Czechowicz Ventures Sp. z o.o. the sixth Member of the Supervisory Board of the 4th Term of Office – Mr. Wiesław Rozłucki – was appointed.

The following are the CV’s of the new Members of the Supervisory Board:

Hubert Janiszewski
Doctor of Economic Sciences, currently a member of the Supervisory Board of Deutsche Bank Polska S.A., Vice Chairperson of the Supervisory Board of Deutsche Bank PBC S.A. and the Chairperson of the Supervisory Board of DB Securities S.A., member of the Supervisory Board of PGF S.A. and Vice President of the Polish Business Roundtable. Graduate of Warsaw University of Technology and Higher School of Economics in Prague. In the 90s he worked in such renown institutions as Deutsche Bank in London, Deutsche Bank Polska SA, United Nations Industrial Development Organisation in Vienna, Department (Ministry of Foreign Trade later Ministry of Economic Cooperation with Abroad), Agency of Foreign Investments in Warsaw, PIC Ltd. in London, HSBC Financial Services in Warsaw, Bankers Trust Company in London and in Poland, holding high executive positions, president of the board and vice president. Furthermore, his professional achievements include strategic consulting for such governments as: Turkey (1976), Algeria (1977), Portugal (1977-1980), Philippines (1974-1976), Thailand (1979/80), Malaysia (1981), Chinese People’s Republic (1979), Ethiopia (1978), Nigeria (1979) and others; organization and statutory instruments for the creation of the Agency of Foreign Investments, creation of about 4000 first joint venture companies (1988-90); leading role in privatization of Goplana S.A., Winiary S.A. In the years 1993-1995 a member of the Economic Board of the then President of the Republic of Poland Lech WałÄ™sa.

Wiesław Rozłucki
Graduate of Warsaw School of Economics (earlier Central School of Planning and Statistics – SGPiS) – Faculty of Foreign Trade, Master’s Degree in Economics; doctoral studies in the field of economic geography; British Council scholarship in London School of Economics. In the years 1973-1979 research worker in the Institute of Geography and Spatial Organization at Polish Academy of Sciences (PAN), in the years 1984-1990 Secretary of the Polish Committee of the Geographic Union. 1990 – advisor to the Minister of Finance in the Office of the Government Plenipotentiary for Ownership Transformation. 1990-1991 – Director of the Department of the Capital Market Development in the Ministry of Ownership Transformation. From 1991 to June 2006 President of the Management Board of the Warsaw Stock Exchange.
In the 90s advisor to the Minister of Ownership Transformation, member of the Polish Securities Commission and Council for Economic Development by the President of the Republic of Poland. Since 1991 member of a lot of Supervisory Boards e.g. Centrum Giełdowe SA and the National Depository for Securities (KDPW) (since 2001 Chairman of the Board). In the years 1995-2002 Chairman of the Committee for Coordination of Stock Exchange System Development, and in the years 2002-2003 Chairman of the Alliance for the Development of the Polish Capital Market, since 2003 member of the Presidium of the Alliance; since 1997 member of the Supervisory Board of “Know How” (Wiedzieć Jak) Foundation; from 1997 to 2003 member of the Supervisory Board of Capital Market Standards Development Foundation; since 2002 member of the Foundation for Capital Market Education, since 2003 member of Lesław A. Paga Foundation Board. Member of Best Practices Committee established in 2001 under the Corporate Governance Forum. Since 2004 member of the Capital Market Council appointed by the Minister of Finance. Since 2005 Chairman of the Founding Council of Polish Institute of Directors Foundation. Since 1994 member of the Working Committee of the World Federation of Exchanges (WFE); since 1999 member of the Working Committee of the Federation of European Stock Exchanges (FESE) and since 2005 Vice Chairman of the Working Committee and member of the Executive Board of FESE. Since 2004 member of the consulting at the Committee of European Securities Regulators (CESR).
Since 2003 Chairman of the Programming Council of Harvard Business Review Polska. In 2004 successfully completed the course of Corporate Governance Program for Bank Directors and Executives organized by the Institute of International Finance, Inc and International Institute for Management Development, IMD in Lausanne, Switzerland. Awarded with French L’Ordre National du Merite (1995) and the Commander’s Cross with Star Order of Polonia Restituta (2000).

Krzysztof Samotij
Graduate of Wroclaw University of Technology and the State University of New York at Albany. In 1981 he was admitted to the title of Doctor in Mathematics (Analysis and Calculus) and began to work as a lecturer at Wroclaw University of Technology. He also gave lectures at the State University of New York at Albany and University of Delaware. He is an author of numerous scientific papers in the scope of mathematics (functional and combined analysis.) In 1996 he received the Investment Consultant License No 87. Since July 1997 employed at WBK AIB Asset Management S.A. in the position of Investment Consultant, Director of Bonds Market. Since February 1998 in the position of the President of the Board of WBK AIB Towarzystwo Funduszy Powierniczych S.A. Since April 2001 Director of Research and Development at WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A. and Investment Consultant at WBK AIB Asset Management S.A. In May 2002 he assumed again the position of the President of the Board of BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A.

Waldemar Sielski
Graduate of the Faculty of Mathematics, Informatics and Mechanical Engineering at the University of Warsaw and Post-Graduate College of Foreign Trade at Central School of Planning and Statistics (SGPiS). In the years 1985-1989 he was a consultant for computerization in the UNIDO Office (United Nations Industrial Development Organization) in Warsaw. In the years 1991-1992 he worked in trade department in the Warsaw Olivetti office. From 1992 to 2000 General Director of Microsoft Sp. z o.o. Creator of the Polish office of Microsoft Corporation and the policy of the company for the first 8 years of its operations in the Polish market. In January 2000 he received INFOSTAR\”99 award for the Man of the Year 1999 in the area of Business Achievements for his contribution in the development of the Polish software market. At present Vice Chairperson of the Scientific Council of the Multis Multum Foundation, investor in the computer, medical and agricultural sectors; expert in the Interkl@sa program. Actively participates in the work of the Polish Platform of Mobile Communications and Wireless Technologies as well as in the Council of the Polish Chamber of Informatics and Telecommunications.

Wojciech Siewierski
Graduate of Fletcher School of Law and Diplomacy; specialization in the scope of telecommunications and commercial law and graduate of Warsaw University. Completed MBA courses at Harvard Business School. At present Senior Executive Director in DoCoMo Europe Ltd. in London and Executive Director NTT DoCoMo Inc. in Tokyo. Responsible for investments in new venture type technologies. In the years 1998-2004 Director and then Executive Director of the Global Business Department, NTT DoCoMo in Tokyo. Supervised the biggest foreign investments of NTT DoCoMo – such as investment worth 4 billion dollars – KPN Mobile in Holland and purchase of the shares in Hutchison 3G in Great Britain.
Co-creator of i-mode – the biggest mobile portal in the world. After the success of i-mode in Japan (45 million users) main executor of the project of launching i-mode in the markets in Holland, Germany, Spain, Singapore, Australia and Taiwan. He was the first to introduce Java application to mobile phones by concluding a strategic partnership between NTT DoCoMo and Sun Microsystems (1998). Active participation in the preparation of NTT DoCoMo to go public at stock exchange in Tokyo (1998). In the years 1996-1998 consultant for sales and international investments in Anchor Enterprises in Boston, USA. In the years 1991-1995 vice-consul and then consul in newly opened Consulate General of the Republic of Poland in Los Angeles.

Konrad Sitnik
Graduate of Law and Administration at Warsaw University and Master of Business Adminstration – University of Minnesota. In the years 1993-1995 worked in the Stock Exchange Commission. Next in the years 1995-2000 employed in Raiffeisen Capital and Investment Brokerage House in the position of president. In the years 2000-2005 worked in Raiffeisen Bank Polska in the position of the bank manager responsible for capital market transactions. In the years 2005-2006 member of the Management Board of Superfund TFI. Currently executive director in Bank Gospodarki Ĺťywnościowej.
