The Management Board of MCI Management S.A. informs that on March 27, 2009 MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA (owned in 100% by MCI) submitted the application for B investment certificates of Nordkapp Ventures FIZ managed by MCI Capital TFI SA. MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA made payment for B investment certificates of Nordkapp Ventures FIZ by contributing 1,370 shares in MCI.BioVentures Sp. z o.o. with the nominal value of PLN 500.00 each, valued at PLN 8,220,000 that is PLN 6,000 per one share. The contributed shares represent 83.18% of the share capital of MCI.BioVentures Sp. z o.o. The book value of the contributed shares in the account books of MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA as of March 27, 2009 day of the last calculation of fair value) was PLN 8,220,000.
The contribution of the shares to the fund referred to above constitute the last stage of transfer of financial assets of MCI Management SA connected with operations of MCI.BioVentures to the dedicated closed-end fund investment (FIZ) operating within the structure of MCI Capital TFI.
In order to perform the transactions referred to above MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA iand Nordkapp Ventures FIZ concluded an agreement considered significant.
MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA in owned in 100% by MCI Management SA. The Company is represented by the general partner of MCI Fund Management Sp. z o.o. The Management Board of the general partner is the same as the Management Board of MCI Management SA. The Management Board of MCI Management SA informed of the formation of MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA in the current report 76/2007 and of the formation of MCI Fund Management Sp. z o.o. in the current report 69/2007. the certificates of Nordkapp Ventures FIZ are owned in 100% by MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA.
