The Management Board of MCI Management S.A. informs that on March 23, 2009 the Company increased the capital in MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA (owned in 100% by MCI) to the amount of PLN 31,088,859.00. The increase was made by taking up 826,200 new registered G shares with the nominal value of PLN 1.00 each and the issue price of PLN 10,00 each. For this purpose MCI Management SA paid PLN 42,000 in cash and brought 1,370 shares in MCI.BioVentures Sp. z o.o. with the nominal value of PLN 500.00 each, valued at PLN 8,220,000 that is PLN 6,000 per one share. The contributed shares represent 83.18% of the share capital of MCI.BioVentures Sp. z o.o. The book value of the contributed shares in the account books of MCI Management SA as of Dec. 31, 2008 (day of the last calculation of fair value) was PLN 8,220,000.
The transactions referred to above constitute the first stage of transfer of financial assets of MCI Management SA connected with operations of MCI.BioVentures to the dedicated closed-end fund investment (FIZ) operating within the structure of MCI Capital TFI.
In order to perform the transactions referred to above MCI Management SA and MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA concluded agreements considered significant (the total value of the agreements concluded over the last 12 months exceeded 10% of the issuer’s equity capitals.)
MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA in owned in 100% by MCI Management SA. The Company is represented by the general partner of MCI Fund Management Sp. z o.o. The Management Board of the general partner is the same as the Management Board of MCI Management SA. The Management Board of MCI Management SA informed of the formation of MCI Fund Management SpĂłłka z ograniczonÄ odpowiedzialnoĹciÄ MCI.PrivateVentures SKA in the current report 76/2007 and of the formation of MCI Fund Management Sp. z o.o. in the current report 69/2007.
