Legal basis: § 5 subpar.1 pt. 1 RO and § 7 RO

The Management Board of MCI Management S.A. informs that on January 1, 2006 the share sale agreement signed on December 9, 2005 by which MCI fund sold to Ms. Renata Raczyńska (holding the position of President of the Board of Biprogeo SA) 1.421.065 shares of Biprogeo SA portfolio company became effective. President Raczyńska is in no other way connected with MCI Management S.A. or with the persons supervising or managing the company.
The sold shares account for 70.60% of the share capital of Biprogeo SA. The value of the transaction was PLN 250,000 and the book value of the sold shares is PLN 245,220. After the transaction of sale MCI Management SA does not hold any shares of Biprogeo SA.
The transaction of sale is an MBO transaction and it is connected with the assessment of the prospects of development of the company, its competitiveness and concentration in the fund portfolio (Geotec and Biprogeo operate in the same sector of GIS market).
The sold assets account for over 20% of the share capital of Biprogeo SA and are considered as assets of significant value.
