Subject: Investment in the o2 Group

MCI Management S.A. (“MCI Management”) hereby announces that on 10 Feb. 2014 the MCI.EuroVentures 1.0 subfund, which was separated within the MCI.PrivateVentures Closed Investment Fund and in which MCI Management indirectly holds 100% of investment certificates, concluded an agreement with European Media Holding S.a.r.l. (“EMH”) under which MCI Management will acquire, as of 13 Feb. 2014, a minority stake equivalent to 20% share in the o2 S.A. Group, which is controlled by EMH and owned by a Private Equity fund from the Innova Capital group. On 23 October 2013, a subsidiary of the o2 S.A. Group concluded a preliminary acquisition agreement concerning 100% shares in Wirtualna Polska S.A. for PLN 375 million.

This is Private Equity fund type of transaction respecting the rights of minority shareholders.
