Topic: Concluding the agreement on purchase of  shares of İndeks Bilgisayar Sistemleri Mühendislik Sanayi ve Ticaret A.Ş company.

MCI Management S.A. (hereinafter referred to as „MCI Management”) informs, that on 21^st  March 2013 , MCI. Venture Projects Sp. z o. o. S.K.A., an entity  dependant on MCI.EuroVentures 1.0 subfund separated from MCI.PrivateVentures Fundusz Inwestycyjny Zamknięty fund, in which MCI Management indirectly possesses 99,99% of investment certificates, entered into an agreement of significant importance.

The agreement was entered into with Mr. Erol Bilecik, founder and majority shareholder of İndeks Bilgisayar Sistemleri Mühendislik Sanayi ve Ticaret A.Ş, (hereinafter referred to as “Index”) company with its seat in Istanbul, Turkey. The transaction concerned 11.200.000 shares, constituting 20 % of Index share capital.

The acquisition price was fixed at the maximum level of 4,35 TRL (Turkish lira = 1,76 PLN) per share. Payment of the last installment shall be conditioned by ambitious financial forecasts for the years 2013-2014 to by achieved by Index company.

The effectiveness of acquisition is conditioned by a proper permissions of Turkish Competition Authority and passing of relevant corporate resolutions required by law.

Index company is listed on ISE (Istanbul Stock Exchange) and along with independent companies is a leader on the broadline and value added market of distribution in Turkey having annual income exceeding 850 mln USD.  Concluding this transaction with the participation of MCI.Venture Project Sp. z o. o. S.K.A is expected in 2^nd quarter of 2013. The Index’s shares purchase is a transaction characteristic of Private Equity funds transactions preserving minority shareholders’ rights. MCI Management S.A. expects that the latest purchase will affect 1^st quarter balance in a positive manner.
