Topic: Appointment of a member of the Management Board of MCI Management S.A.

Legal basis: art. 56 subpar. 1 pt  2 Public Offering Act – current and periodical information

The Management Board of MCI Management S.A. informs that on 16th July 2013, the  Supervisory Board  appointed Mr. Zbigniew Bąk member of the Management Board for a three year term of office as vice president of the Management Board. The resolution of the  Supervisory Board  enters into force as of 1st October 2013, but not before making of an entry in the National Court Register, increasing the maximum number of the Company’s Management Board members to seven.

The appointed Member of the Management Board does not participate in any competitive activity, neither is he as a partner in a civil law company, partnership or a member of a governing body in any capital company or a member of competitive legal entities in relation to MCI Management S.A.; he is not listed in the Register of Insolvent Debtors held on the basis of the Act on the National Court Register.

Information regarding education, qualifications and previous positions along with description of the course of career of the appointed Member of the Supervisory Board:

Zbigniew Bąk was born in 1964.  He is a graduate of Booth School of Business at the University of Chicago; in 1997 obtained its  MBA diploma with the highest distinction.  Prior to that, in 1989 he graduated from the Faculty of Foreign Trade of the Warsaw School of Economics. Since 1995 Zbigniew Bąk is a member of Association of Chartered Certified Accountants in Great Britain and was  a representative for Eastern Europe in one of the committees of International Federation of Accountants. In 2009 – 2013 he was a member of the  Supervisory Board in the  Association of Private Media Employers.

He commenced his professional work in the year 1990 in Polish  Agency of Foreign Investments. Subsequently, he was a consultant in Moore Stephens company. Between  1991 – 2000 he was cooperating with consultancy firm Arthur Andersen. He was advising clients from numerous branches of the industry, primarily in the scope of mergers and takeovers, reorganization and privatization. In 1998 Zbigniew Bąk became a partner, the managing director of Corporate Finance department and a member of the Management Board of Arthur Andersen Polska Sp. z o. o. (limited liability company). Starting from the year 2000 till the end of June this year he cooperated with Agora S.A. At the start, he was responsible for the development and acquisition, and later (in different periods) as vice president of the Management Board he was supervising the following branches: outdoor advertising, magazines, radio, daily press, print, cinemas as well as corporate sales and new ventures departments. He was the president of the  Supervisory Board  of Helios S.A. and a member of  Supervisory Boards of the following companies: AMS S.A., AdTaily Sp. z o. o., Goldenline Sp. z o. o.
