The Management Board of MCI Management S.A. (“MCI”) informs that according to information received from Private Equity Managers S.A. (“PEManagers”), on 25 June 2014 the Company completed the second installment of pre – IPO PEM sale of shares in the share capital of PEManagers. Shares in the share capital of PEManagers were sold by MCI Fund Management Company Limited Liability Company Limited IV – limited joint stock partnership with registered office in Warsaw (“SKA FUND”), which is a 100% subsidiary of MCI, and by the investment fund MCI.PrivateVentures Closed Investment Fund with subfund MCI.EuroVentures 1.0, in which MCI, through its subsidiaries, owns 100% of investment certificates (“MCI PV”).

SKA FUND sold 378.752 shares in the share capital PEManagers, representing 11.35% of the share capital and 11.35% of total number of votes of PEManagers at the PEManagers General Meeting, at a price of 57.61 PLN per share.

According to the information received from PEManagers, MCI PV sold 650.172 shares in the share capital representing 19.49% PEManagers capital PEManagers and 19.49% of the total number of votes at the PEManagers General Meeting (sale price is subject to professional secrecy, as defined in provisions of the Act of 27 May 2004 on investment funds).

After the sale of 1.028.924 shares in the share capital of PEManagers, as of 26 June 2014:

– 6.00% of the share capital of PEManagers is in possession of MCI,

– 0.26% of the share capital of PEManagers is in possession of FUND SKA,

– 29.50% of the share capital of PEManagers is in possession of MCI PV.

Shares in the share capital of PEManagers were acquired, among others, by individuals connected with MCI capital group, including financial institutions who are shareholders of MCI and individuals (managers and partners as well as persons cooperating with MCI).

MCI supports the intention of PEManagers company debut on the Warsaw Stock Exchange in the fourth quarter of 2014.
