Topic: Concluding an agreement on purchase of  shares of İndeks Bilgisayar Sistemleri Mühendislik Sanayi ve Ticaret A.Ş company.

MCI Management S.A. (hereinafter referred to as „MCI Management”), with regard to the RP 9/2013 presented to the public on 21st March 2013, informs that having acquired relevant permissions from Turkish authorities (Turkish Competition Authority) and corporate permissions, Alfanor 13131 AS, a dependant company of MCI. Venture Projects Sp. z o. o. S.K.A., an entity  dependant on MCI.EuroVentures 1.0 subfund separated from MCI.PrivateVentures Fundusz Inwestycyjny Zamknięty fund, entered into the purchase agreement of 11.200.000 shares of İndeks Bilgisayar Sistemleri Mühendislik Sanayi ve Ticaret A.Ş (Indeks) with its seat in Istanbul.

The agreement was entered into with Mr. Erol Bilecik, founder and majority shareholder of Indeks. The payment for the acquired shares will be executed in installments whereas the first rate shall be paid with a significant discount as compared to the market value appraisal as of yesterday. The acquisition price was fixed at the maximum level of 4,35 TRL (Turkish lira = 1,76 PLN) per share. The entire value of the transaction is conditioned by meeting the forecasts of Indeks for the years 2013-2014.

MCI Management indicates that the share purchase agreement was signed by Alfanor 13131 AS replacing MCI. Venture Projects Sp. z o. o. S.K.A. which signed the preliminary agreement of Indeks’ shares purchase.

Alfanor 13131 AS company is an entity where MCI.EuroVentures 1.0 subfund possesses 100% shares’ separated from MCI.PrivateVentures Fundusz Inwestycyjny Zamknięty in the subfund of which MCI Management possesses  indirectly 99,99% investment certificates.

Indeks Bilgisayar operates on IT distribution market  since the year 2001. The company is unquestioned leader in the sale of IT equipment at the local market having 27% market share and annual incomes exceeding 850 mln USD, which is more than twice when compared to its biggest competitor. Indeks is the eighth biggest Turkish ICT  company. It cooperates with more than 8000 business partners. Since 2004 Indeks is listed on Istambul Stock Exchange
