The Management Board of MCI S.A. (“MCI”) announces that on 31 March 2014 and 1 April 2014 year, the MCI Fund Management Company Limited Liability Company Limited IV – limited joint stock partnership with its registered seat in Warsaw (“SKA FUND”), which is a 100% subsidiary of MCI, sold the first part of the shares of Private Equity Managers SA (“PEM”) as part of the pre-IPO transactions. Making a pre-IPO PEM transactions is a confirmation of prior announcement of its intention to carry out an initial public offering of PEM shares. According to the plans, it is to take place in the second half of 2014 (market debut is planned for September – December 2014,depending on market conditions). PEM shares were acquired by investors in a private placement with the valuation of the Company’s 100% value (Enterprise Value) at over 270 million zlotys. PEM shares were purchased, among others, by people from MCI management. After the sale of shares in the first part of PEM:
– Less than 20% of MCI PEM shares directly and indirectly through a subsidiary FUND SKA company, and
– Approx. 49% of PEM shares has a dedicated MCI.EuroVentures 1.0 sub-fund MCI.Private investment fund Ventures Closed Investment Fund, in which MCI indirectly through its subsidiaries, owns 100% of investment certificates.
Prior to the sale of PEM shares on 31 March 2014. The Annual General Meeting passed a resolution on PEM division and allocation of profit in the amount of PLN 72.5 million to the benefot of the existing PEM shareholders, i.e., MCI, and the FUND SKA and MCI.EuroVentures 1.0 sub-fund separated in MCI.PrivateVentures investment fund Closed Investment Fund, in which MCI indirectly through its subsidiaries, owns 100% of investment certificates.
