Topic: PRE – IPO Private Equity Managers S.A.

In addition to the current report no. 18/2014 of 1 April 2014., MCI Management S.A. (“MCI”) announces that as part of the pre-IPO transactions of Private Equity Managers S.A. (“PEM”), MCI Fund Management Company Limited Liability Company – limited joint stock partnership IV – SA with its registered seat in Warsaw (“SKA FUND”), a 100% subsidiary of MCI, sold the following number of shares, at the following prices:

– 1,033,233 shares representing 30.98% of the PEM share capital and 30.98% of total number of votes at the General Meeting of PEM, at a price of 57,61 PLN per share,

– 29,683 shares representing 0.89% of the PEM share capital and 0.89% of PEM total number of votes at the PEM General Meeting , at a price of 64,01 PLN per share,

After the sale of 1,062,916 shares of PEM as of 1 April 2014:

– 6.00% of the share capital of PEM, is in possession of MIP,

– 13.12% of the share capital of PEM, is in possession of FUND SKA

– 48.99% of the PEM share capital, is in possession of MCI.EuroVentures sub-fund 1.0 separated within MCI.Private Ventures Closed Investment Fund, in which MCI indirectly through its subsidiaries, owns 100% investment certificates.
