Subject: PRE-IPO of Private Equity Managers S.A.

The Management Board of MCI Management S.A. (“MCI”) announces, in accordance with the information received from Private Equity Managers S.A. (“PEManagers”), that the disposal of shares in the share capital of PEManagers within the third tranche of the pre-IPO PEM was completed on 25 February 2015. Shares in the share capital of PEManagers had been sold by MCI Fund Management Spółka z ograniczoną odpowiedzialnością IV Spółka komandytowo-akcyjna based in Warsaw (“FUND SKA”), a 100% subsidiary of MCI, and the investment fund MCI.PrivateVentures Closed Investment Fund with a sub-fund MCI.EuroVentures 1.0, in which MCI, through its subsidiaries, holds 98.81% of investment certificates (“MCI PV”).

FUND SKA sold 8,355 shares in the share capital of PEManagers, which constitutes 0.25% of the share capital of PEManagers and 0.25% of the total number of votes on the general meeting of PEManagers, for PLN 80.96 per share.

In accordance with the information received from PEManagers, MCI PV sold 599,875 shares in the share capital of PEManagers, which constitutes 17.98% of the share capital of PEManagers and 17.98% of the total number of votes on the general meeting of PEManagers (the sales price is covered by professional secrecy, as referred to in the Investment Fund Act of 27 May 2004).

After the disposal of 608,230 shares in the share capital of PEManagers, as at 25 February 2015:

• 52% shares in the share capital of PEManagers are held by Mr. Cezary Smorszczewski
• 97% shares in the share capital of PEManagers are held by “Alternative Investment Partners” Spółka z ograniczoną odpowiedzialnością,
• 25% shares in the share capital of PEManagers are held by MCI,
• 35% shares in the share capital of PEManagers are held by MCI PV.

PEManagers will debut at the Warsaw Stock Exchange in March 2015.
